[00]Position

We are a firm of compliance specialists, payroll engineers and labour-law advisors. We work — at depth, and in confidence — with the people who run India's most operationally complex businesses. Where compliance ends, growth begins.

[01]The Practice

Four disciplines. Ten services.

01

Payroll & Statutory Compliance

Operational

Monthly payroll, statutory filings and the entire EPF / ESI / PT machine — across multi-state operations and headcounts from twenty-five to five thousand.

  • Payroll Processing
  • Statutory Compliance
  • PF, ESI & Professional Tax
02

Registrations & Licensing

Permitting

Permissions to operate — from first commencement to multi-state expansion. We take licensing as a calendar, not as a campaign.

  • Shops & Commercial Establishment
  • Factory Compliance & Licensing
  • Trade License
  • FSSAI License
03

Audit & Advisory

Advisory

Independent reviews, vendor health-checks and tribunal representation — when the regulator calls, or, better, before.

  • Labour Law Advisory
  • Vendor Compliance Audit

Digital Presence

Visibility

Where compliance ends and visibility begins — the business as the world sees it. Built and maintained, not just launched.

[02]How we work

A practice in
three movements.

Every Dithu engagement runs to the same three-act score — designed to take the noise out of compliance, and the noise out of the boardroom.

IWeek 1–2

Assessment

We begin with a confidential audit of your current payroll, compliance and HR posture. Two weeks, on-site where it matters, with a written report that lists what is broken, what is exposed, and what is over-engineered.

IIMonth 1–3

Tailored architecture

We design a payroll and compliance architecture that fits your business — not a template. We then implement it: vendor cutover, new SOPs, employee communication, and the SLA against which we will be measured.

IIIMonth 4 onward

Continuous assurance

Once live, your mandate is run, every month, by a named partner. Monthly close, quarterly health-check, annual audit-readiness review — and immediate response when the regulator calls.

Reading the numbers

  • Basic is set at 50% of wages, which under the Code on Wages, 2019 excludes gratuity (clause j) and retrenchment compensation (clause k) — so Basic is slightly under 50% of CTC, not exactly 50%.
  • HRA shown as a standard 50% of Basic; the actual tax exemption depends on rent paid.
  • New regime (FY 2026-27): ₹75,000 standard deduction; 87A rebate to ₹12L taxable income; LTA, HRA and 80C are not available.
  • Meal-card and telephone/internet reimbursements stay tax-exempt in both regimes (perquisite rules under Sec 17); LTA exemption is available only in the old regime.
  • PF is set to the statutory ceiling (12% of ₹15,000/month) — the EPFO minimum; toggle above to compare.
  • Excludes optional structuring — NPS (80CCD), ESOPs, RSUs, gym / wellness — which Dithu sets up case-by-case.

Clearing standing-order certification for 1,400 employees in 60 days

Took over a stalled labour-department application from the client's incumbent counsel; rewrote standing orders to align with the 2024 amendments, obtained certification from the Tamil Nadu commissioner in under nine weeks, and built the renewal calendar that has run automatically since.

Five years of consolidated payroll across seven states

In 2021 we took over a fragmented payroll function for the Indian subsidiary of a US industrial group. Today we process monthly payroll, EPF, ESI, professional tax and statutory returns across seven state jurisdictions for over 1,400 employees — without a single late-filing penalty.

We don't solicit testimonials. The notes below were left, unprompted, by clients over the past four years.

Dithu took over our payroll from a tier-1 firm and we have not had a single delayed return in four years. They make it look easy. It is not.

Apoorva Ramesh

Chief Financial Officer

Watching their team handle our seven-state payroll is like watching surgeons operate. Quiet, fast, no margin for error. We sleep better since 2022.

Murali Naatuvada

Chief Operating Officer

Most consultants sell you what they have. Dithu told us what we actually needed — half of which we hadn't asked for. Worth every rupee.

What the 2026 Labour Codes mean for mid-market employers

The four labour codes are finally in force across most states. We unpack the changes employers should plan for in their first wage cycle — and the silent traps in the new Industrial Relations Code.

Beyond payroll: when to graduate to in-house HR

Most growth-stage companies cross the threshold from outsourced HR to a real in-house function somewhere between headcount 150 and 400. We argue the trigger is rarely headcount alone.

[10]Questions

Things you may
wish to ask.

A handful of the questions we hear most often. For anything specific to your situation, write in — initial conversations are confidential and at no cost.

01

Which businesses need to register for EPF, ESI and Professional Tax?

EPF kicks in at twenty employees (ten in some notified states); ESI at ten employees with wages up to ₹21,000; Professional Tax thresholds and rates vary by state. We map all three to your actual headcount and roll out registration in days, not weeks.

02

How does Dithu price its mandates — retainer or per transaction?

Most of our work runs on a monthly retainer scoped to your headcount and state footprint. Litigation, registrations and one-off advisories are billed separately, at rates agreed before we start. No surprise invoices.

03

What's the typical onboarding timeline when switching compliance vendors?

Two to six weeks, depending on data quality at the incumbent. We work alongside the outgoing vendor through the first close to avoid disruption — and we offer a no-charge parallel-run option for the first month on mandates above 250 employees.

04

Do you serve businesses with fewer than twenty-five employees?

Yes, with caveats. Below twenty-five, the economics rarely favour a partner-led mandate — but we run a junior-led starter pack at a flat retainer that grows with you as headcount and state footprint expand.

05

How does Dithu secure our payroll and employee data?

We are ISO 27001:2022 certified. All payroll data is encrypted at rest and in transit, segregated per client, accessible to a named two-person team, and purged on a schedule agreed at the start of the mandate. Data residency is India by default.

06

Is Dithu present outside Bengaluru?

We are headquartered in Bengaluru and serve clients across India from a single office. For mandates with operations outside India — typically SEA or the GCC — we work with vetted local firms under a single point of contact at Dithu.
